4. Age Requirements

Our services are intended for individuals who are at least 18 years of age or the age of majority in their jurisdiction, whichever is greater. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding contracts. If you are engaging our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

5. Indemnification Obligations

You agree to indemnify, defend, and hold harmless Char Studio, its officers, employees, and contractors from any claims, damages, losses, liabilities, and expenses arising from your breach of these terms, your use of our services, or your violation of any law or third-party rights. This indemnification obligation will survive the termination of your relationship with us.

6. Privacy and Data Protection

You acknowledge that you have read and understood our Privacy Policy and agree to our collection, use, and disclosure of your personal information as described therein. When providing us with information about third parties, you represent that you have obtained all necessary consents and have the authority to share such information with us.

7. Third-Party Interactions

We are not responsible for any third-party services, content, or platforms, and your use of such services is subject to their respective terms and conditions.

1. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including:

• 1.2 Warranties that our services will be uninterrupted, timely, secure, or error-free

2. Limitation of Liability

To the maximum extent permitted by applicable law, Char Studio shall not be liable for:

• 2.1 Any indirect, incidental, special, consequential, or punitive damages whatsoever
• 2.2 Loss of profits, revenue, data, use, goodwill, or other intangible losses

Our total liability for any claims shall not exceed the greater of $100 USD or the amount you paid us for services in the three months preceding the claim.

3. Exclusion of Consequential Damages

Under no circumstances shall Char Studio be liable for any consequential, indirect, special, incidental, or punitive damages, including lost profits, loss of business opportunities, or loss of data, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages, so these limitations may not apply to you.

4. Force Majeure Provisions

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, pandemic, government restrictions, power failures, or network outages. In such events, our obligations will be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume service as soon as practicable.

While we strive to provide high-quality character design services, we make no guarantees regarding specific creative outcomes or commercial success of projects. The effectiveness of character designs may vary based on implementation, target audience, and market conditions beyond our control. We recommend consulting with appropriate professionals regarding business, legal, or technical matters related to your project.

1. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to any principles of conflicts of law. You agree that any legal action or proceeding arising out of or related to these terms shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

2. Dispute Resolution Procedures

In the event of any dispute, claim, or controversy arising from these terms:

• 2.1 You agree to first attempt to resolve the dispute informally by contacting us directly
• 2.2 We will work with you in good faith to reach a mutually acceptable resolution
• 2.3 If informal resolution is unsuccessful within 30 days, either party may pursue formal proceedings
• 2.4 All disputes shall be resolved through binding arbitration or litigation as described herein

3. Severability Clause

All provisions of these Terms and Conditions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability. Termination of your access to our services shall not relieve you of any obligations or liabilities that accrued prior to termination.
